The buyer group is led by Saudi Arabia Public Investment Fund alongside Silver Lake and Affinity Partners, and it is acquiring Electronic Arts, the interactive entertainment company behind franchises including EA Sports titles such as FIFA and Madden NFL as well as Battlefield, The Sims and Dragon Age.
The transaction values EA at approximately USD 55 billion enterprise value; the buyer group will acquire 100% of the company, with PIF rolling over its existing 9.9% stake, and EA shareholders will receive USD 210 per share in cash, a 25% premium to the unaffected share price.
EA called the acquisition the largest all-cash sponsor take-private transaction in history; closing is expected in the first quarter of EA's fiscal 2027, subject to regulatory and shareholder approvals, and the financing package comprises about USD 36 billion of equity plus USD 20 billion of committed debt.
